Welcome to La Strada Productions. By accessing and using this website, you agree to comply with and be bound by the following Terms of Service, which govern your use of our website and services. If you do not agree with any of these terms, you should not use this website or our services.
1. Definitions
• Client: Refers to any individual or entity who enters into an agreement with La Strada Productions for services.
• Services: Refers to all creative, branding, video production, drone, aerial, photography, social media, and related services provided by La Strada Productions.
• Deliverables: Refers to any final product or work delivered to the client, including but not limited to video, audio, images, branded content, and promotional materials.
2. Scope of Services
La Strada Productions offers bespoke video, photography, drone, aerial, branding, and social media content creation services. The scope, timeline, and pricing of services will be outlined in a formal written agreement or proposal accepted by both parties prior to the commencement of work. The agreement will outline the specific deliverables and terms of the project.
La Strada Productions is also developing Future Innovations in Artificial Intelligence (AI) services, which may include AI-driven motion picture, still photography, and music services. Any AI-related services will be subject to additional terms and will be outlined in future agreements.
3. Intellectual Property
• Ownership: All pre-existing intellectual property (including, but not limited to, video footage, images, concepts, ideas, scripts) owned by La Strada Productions prior to any client engagement remains our sole property unless otherwise agreed upon in writing.
• Client License: Upon full payment, La Strada Productions grants the client a non-exclusive, perpetual, royalty-free license to use the final deliverables for the purposes agreed upon in the proposal or contract.
• Prohibited Use: The client may not modify, resell, or sublicense any deliverable without express written permission from La Strada Productions.
• Attribution: La Strada Productions reserves the right to publicly credit and showcase the completed project on its website, social media, or other platforms, unless otherwise agreed upon in writing.
4. Payment Terms
• Fees: Fees for services are set out in the proposal or agreement and must be paid in full according to the agreed-upon terms.
• Payment Schedule: A non-refundable deposit may be required to secure the booking of services. The remaining balance is due upon delivery of the final project, unless otherwise agreed.
• Late Payments: Payments that are not received within 14 days of the due date will incur a 2% late fee. La Strada Productions reserves the right to withhold deliverables or cease work on projects in the case of non-payment.
• Taxes: The client is responsible for all applicable taxes related to the services provided.
5. Revisions & Changes
• Revisions: The client is entitled to a set number of revisions as outlined in the proposal. Any additional revisions beyond the agreed-upon scope will be charged at La Strada Productions’ hourly rate.
• Change Requests: Any substantial changes or modifications requested after the start of the project may result in additional charges and must be agreed to in writing before being implemented.
6. Cancellation & Refunds
• Cancellation by Client: In the event the client cancels the project after services have commenced, the client will be liable for all costs incurred up to the point of cancellation, including the non-refundable deposit.
• Cancellation by La Strada Productions: We reserve the right to cancel or reschedule services in the event of unforeseen circumstances, with reasonable notice provided to the client. In such cases, a refund will be issued for any uncompleted services.
• Refund Policy: Refunds are only available for services not yet rendered and must be requested within 14 days of the payment date. Deposits are non-refundable except in cases of provider cancellation.
7. Client Responsibilities
• Timely Communication: The client agrees to provide necessary materials, approvals, feedback, and any other required assets in a timely manner to ensure the project timeline is maintained.
• Accuracy of Information: The client is responsible for the accuracy of all information, content, and instructions provided to La Strada Productions.
8. Liability Limitation
La Strada Productions will not be liable for any indirect, consequential, or punitive damages arising from the use of services or deliverables. Our total liability under these terms will not exceed the total amount paid by the client for the services provided.
9. Force Majeure
Neither party will be held liable for any failure or delay in performance due to circumstances beyond their control, including but not limited to natural disasters, strikes, government regulations, or equipment failure. In such an event, both parties will make every reasonable effort to resume performance as quickly as possible.
10. Confidentiality
La Strada Productions agrees to maintain the confidentiality of any proprietary or confidential information provided by the client, unless such information is publicly available or legally required to be disclosed.
11. Photography & Social Media Content
• Photography: La Strada Productions offers commercial, branding, event, and drone & aerial photography services. These services are subject to the same payment, revision, and cancellation terms outlined in Sections 4, 5, and 6.
• Social Media Content Creation: We provide video and still photography content for social media, along with strategic planning and consultation. Any custom strategies or content remain the intellectual property of La Strada Productions unless otherwise agreed in writing.
• Usage Rights: Clients receive a license to use photography and video content for promotional purposes as outlined in the agreement. Any use beyond the agreed scope, such as reselling or sublicensing content, requires permission from La Strada Productions.
12. Future Innovations
La Strada Productions is continuously exploring new technologies to improve our offerings. AI-based services, including motion picture, still photography, and music composition, are currently in development and may be offered as an additional service in the future. Any such services will be subject to new terms and agreements and will be clearly outlined in future proposals.
13. Termination
Either party may terminate this agreement with 30 days written notice if the other party breaches any material term of the agreement and such breach is not cured within 10 days of written notice.
14. Governing Law
These terms will be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law principles.
15. Dispute Resolution
Any disputes arising from this agreement shall first be attempted to be resolved through mediation. If mediation fails, the dispute will be settled by binding arbitration in the State of Georgia.
16. Amendments
La Strada Productions reserves the right to amend or update these Terms of Service at any time. Clients will be notified of any significant changes to these terms.
